Yosa Copilot Terms of Service (Beta 1.0)

Introduction

This Beta Testing Agreement ("Agreement") is between The Yosa Group Ltd ("Company," "we," "us," or "our") and the individual or entity agreeing to these terms ("Beta Tester," "you," or "your"). This Agreement governs your participation in the beta testing program for the Yosa Copilot application ("Application").

1. Beta Testing Purpose

The purpose of this beta testing program is to evaluate the Application's functionality, usability, performance, and safety features in a controlled environment before public release.

2. Eligibility Requirements

By accepting this Agreement, you confirm that:

1. You confirm that you will use the Application responsibly and in accordance with applicable standards.
2. If applicable, you have professional indemnity insurance that covers your professional practice.
3. You are at least 18 years of age and have the legal capacity to enter into this Agreement.
4. You will only use the Application in accordance with applicable laws, regulations, and professional standards.

3. Beta Testing Period

1. The beta testing period begins upon your acceptance of this Agreement and continues until terminated by either party.
2. We may terminate the beta testing program at any time without notice.
3. You may withdraw from the beta testing program at any time by notifying us in writing.

4. Beta Tester Responsibilities

As a Beta Tester, you agree to:

1. Use the Application only for its intended purpose of enhancing session or meeting workflows.
2. Provide honest, constructive feedback about the Application's performance, features, and usability.
3. Report any bugs, errors, or issues promptly through the designated feedback channels.
4. Participate in feedback sessions or surveys as reasonably requested.
5. Not rely solely on the Application's features (including risk alerts) for professional decision-making.
6. Maintain your own independent professional judgment and professional standards at all times.
7. Not distribute or share raw session transcripts or AI-generated summaries produced by the Application externally without ensuring appropriate context, permissions, and compliance with any applicable privacy or confidentiality obligations.

5. Limitations and Disclaimers

1. BETA STATUS: The Application is in beta testing and is provided "AS IS" without warranty of any kind.
2. NO MEDICAL DEVICE: The Application is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or condition.
3. RISK ALERT LIMITATIONS: The risk alert feature is an assistive tool only and may not detect all instances of concerning content. You remain solely responsible for identifying and responding to participant safety concerns or other critical issues.
4. REAL-TIME INSIGHTS LIMITATIONS: The real-time insights feature provides suggestions based on automated analysis of session content and is not a substitute for professional expertise. Insights may be incomplete, inaccurate, or inappropriate for specific situations. You must exercise professional judgment in determining whether and how to incorporate any insights into your professional approach.
5. NO REPLACEMENT FOR PROFESSIONAL JUDGMENT: The Application does not replace professional judgment. All insights and suggestions are supplementary to your professional expertise.
6. NO LIABILITY: To the maximum extent permitted by law, we disclaim all liability for any damages arising from your use of the Application during the beta testing period.

6. Confidentiality

1. The Application, its features, and all related information are confidential information.
2. You agree not to disclose any confidential information to third parties without our prior written consent.
3. You will not share access to the Application with anyone not authorised by us.
4. You will not capture screenshots, recordings, or other media of the Application without our explicit permission.
5. This confidentiality obligation survives the termination of this Agreement.

7. Intellectual Property

1. All intellectual property rights in the Application remain the exclusive property of The Yosa Group Ltd.
2. You are granted a limited, non-exclusive, non-transferable license to use the Application solely for the purposes of beta testing.
3. Any feedback, suggestions, or ideas you provide may be used by us without any obligation to compensate you.

8. Data Protection (Revised)

1. Any personal data processed during beta testing will be handled in accordance with our Privacy Policy and applicable UK data protection laws, including the UK GDPR and the Data Protection Act 2018.
2. You are authorised to use the Application with real participants and real session data, provided that:
   • You have obtained appropriate consent from the participants for the use of the Application (including recording and analysis)
   • You have explained to participants that the Application is in beta testing
   • You have informed participants about what data is collected and how it will be used
   • You comply with all professional ethical standards regarding confidentiality
3. You agree to implement appropriate consent procedures that capture the necessary elements of informed consent based on your context and applicable regulations.
4. You will immediately report any participant concerns about data privacy or security by emailing james@yosacompany.com
5. You will not use the Application with individuals in crisis or those who may be particularly vulnerable without appropriate safeguards and permissions.
6. You remain responsible for maintaining appropriate professional records in accordance with your professional standards, regardless of any data captured by the Application.

9. Termination

1. Either party may terminate this Agreement at any time without notice.
2. Upon termination, you must cease all use of the Application and delete any copies in your possession.
3. Sections 5, 6, 7, and 10 survive termination of this Agreement.

10. General Provisions

1. This Agreement is governed by the laws of the United Kingdom.
2. Any disputes arising from this Agreement shall be resolved in the courts of the United Kingdom.
3. This Agreement constitutes the entire understanding between the parties regarding the beta testing program.
4. If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force and effect.

11. Acceptance

By clicking "I Accept" or by downloading, installing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

Beta Tester Acknowledgment

• I confirm I will use the Application responsibly and in accordance with applicable standards.
• I understand the Application is in beta testing and should not be relied upon for professional decision-making.
• I acknowledge that the risk alert feature is an assistive tool only and does not replace my professional judgment.
• I agree to provide feedback and report any issues discovered during testing.
• I will not share access to the Application or disclose confidential information about it.
